NO ONLINE PROFICIENCY TEST FOR CAS, CS, AND ADVOCATES WITH OVER 10 YEARS EXPERIENCE, SAYS MCA

CEV TECHNO NEWS: JALANDHAR, 20/08/2021: MCA exempts Advocate, CA, CMA, CS having at least 10 years from Online Proficiency Self-Assessment Test for becoming Independent Director. The ministry also made the norms more flexible for officials of central and state governments with expertise to be appointed as independent directors.

Experienced advocates, chartered accountants, cost accountants, and company secretaries are exempt from the requirement of a proficiency test in order to qualify for appointment as independent directors on the board of companies, the government said on Thursday.

The Corporate Affairs Ministry (MCA) has specifically exempted certain individuals from taking the online proficiency self-assessment test for them to get into or retain their Board positions as independent directors in companies.

It has now specifically ruled that individuals who are or have been for at least ten years an advocate of a Court;or in practice as a chartered accountant, or in practice as a cost accountant; or in practice as company secretary need not pass the online proficiency self-assessment test.

It may be recalled that MCA had in October 2019 mandated that independent directors will have to take up an online proficiency self-assessment test conducted by the Indian Institute of Corporate Affairs (IICA), if they are to get into or retain their Board positions.

What is a proficiency test?

Boards of companies have, in their reports to shareholders, been stressing the “integrity, expertise and experience (including the proficiency) of the independent directors”. To opine on the ‘proficiency’, the Board will have to be guided by the ‘proficiency’ ascertained from the online test conducted by the IICA, the MCA had then said in October 2019.

After the MCA’s new framework, a candidate aspiring to become an independent director in Corporate India had to satisfy two main criteria — find a place in the databank and take an online proficiency test.

Directors — other than those exempted — have two years’ time — from the day they get into IICA maintained databank — to pass the online proficiency self-assessment test.

From time to time, MCA has been tweaking the norms around independent directors and the previous rule changes that happened in December last year.

Experts opinion

One of the experts said that MCA’s decision to allow CAs, CSs, Cost accountants in practice, and advocates with more than 10 years of experience to be appointed as independent directors without a proficiency test is indeed laudable.

With their understanding of the norms of corporate governance, such experienced professionals would be best placed to serve in their capacity as independent directors, bringing in requisite expertise as well as tiding over the shortage of good independent directors, Satpathy said.

They said this is a welcome move in the direction of the government’s ongoing efforts towards enhancing corporate governance standards in India. These experienced professionals have always imbibed the spirit of code for independent directors, enshrined in corporate law, in their daily lives.

The amendment has rightfully recognized the values of integrity and probity these professionals stand for, he added.

Meanwhile, MCA has also relaxed the criteria for exempting senior government officials from the proficiency test. Hitherto, only those in the pay scale of Director or above in the MCA or the Ministry of Finance or Ministry of Commerce and Industry or the Ministry of Heavy Industries and having experience in handling the matters relating to corporate laws or securities laws or economic laws were exempted from the test.

Now, the rules have been amended to allow this exemption for all in the pay scale of Director or equivalent or above on any ministry or department of the Central Government or any State government having experience in handling matters relating to commerce, corporate affairs, finance, industry or public enterprises.

The Ministry of Corporate Affairs (MCA) has exempted the Advocate, chartered accountant (CA),  cost accountant (CMA), company secretary (CS) having at least 10 years from online proficiency self-assessment test for becoming an Independent Director. The government has notified the Companies (Appointment and Qualification of Directors) Amendment Rules, 2021 which seeks to amend Rule 6 (4) of the Companies (Appointment and Qualification of Directors) Rules, 2014.

The notification substituted the first proviso, for clause (B) in rule 6 (4) which says that in the pay scale of Director or equivalent or above in any Ministry or Department, of the Central Government or any State Government, and having experience in handling, the matters relating to commerce, corporate affairs, finance, industry or public enterprises; or the affairs related to Government companies or statutory corporations set up under an Act of Parliament or any State Act and carrying on commercial activities.

As per the Rules, Every individual whose name is so included in the data bank shall pass an online proficiency self-assessment test conducted by the institute. However, as per the amendment, the advocate of a court; or in practice as a chartered accountant; or in practice as a cost accountant; or in practice as a company secretary who is or have been, for at least ten years shall not be required to pass the online proficiency self-assessment test.

As per the Companies (Appointment and qualification of directors) Amendment Rules, 2021 notified by the ministry of corporate affairs, these professionals need not take the test if they have been practicing for ten years in the field.

The ministry also made the norms more flexible for officials of central and state governments with expertise to be appointed as independent directors.
Earlier, the norms had specified that directors or above in the central ministries of finance, corporate affairs, commerce, heavy industries, and public enterprises having experience in handling matters related to corporate, securities, or economic laws were exempt from the proficiency test.
The new norms introduced on Thursday exempt all directors, equivalent or above in any ministry or department of central or state governments from the test.
This is subject to the rider that they need to have experience in handling matters related to commerce, corporate affairs, finance, industry or public enterprises or the affairs related to government companies or statutory corporations set up under any law and carrying on commercial activities.
For appointment as independent directors, the candidates also have to get their names included in a database of willing and eligible persons, maintained by the Indian Institute of Corporate Affairs (IICA), a government institution.
The change in norms aims to make more experienced persons available to be appointed as independent directors on the board of companies. The proficiency test seeks to ensure that only persons who can understand the implications of board decisions are hired as independent directors, whom regulators, public financial institutions, minority shareholders and potential investors bank on for ensuring good governance.
